Terms of Service

These Terms of Service ("Terms") govern your access to and use of LedgerProof (the "Service"), operated by Tech for CFO, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

LedgerProof connects to your QuickBooks Online company using read-only access to produce reports, analyses, and exports for you. We read the data needed to generate your results; we do not write to, modify, or delete anything in your QuickBooks books. You can disconnect LedgerProof from QuickBooks at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@techforcfo.com of any unauthorized use.

4. Your Data and Ownership

You own your data. You retain all right, title, and interest in the QuickBooks and other data you connect or submit to the Service ("Your Data"). We claim no ownership of Your Data.

You also own the output the Service generates for you — the reports, workpapers, drafts, dashboards, exports, and other materials LedgerProof produces from Your Data ("Output"). The Output is yours. You may use, copy, share, distribute, and export it freely, inside or outside your organization, without watermarks, royalties, or restrictions imposed by us.

We do not use Your Data or your Output to train, fine-tune, develop, or improve any artificial-intelligence or machine-learning model, and we do not build aggregated or "de-identified" training datasets from it. We access and process Your Data only to operate the Service and deliver your results, and to maintain, secure, and support the Service.

You grant us a limited, non-exclusive license to host, store, and process Your Data solely for the purpose of providing the Service to you. This license ends when you delete Your Data or terminate your account.

5. Subprocessors

We use a small set of third-party service providers ("subprocessors") to deliver the Service — for example, cloud hosting, payment processing, and email delivery. These subprocessors process data only on our instructions and only as needed to provide the Service. We do not sell Your Data, and we do not share it with third parties for their own purposes.

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time for maintenance, updates, or causes outside our control. The Service depends on the QuickBooks Online API, whose availability is outside our control.

The Service and all Output are provided on an "as is" and "as available" basis. The Output is informational and does not constitute accounting, tax, legal, or investment advice. Tech for CFO, Inc. disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing Output before relying on it.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Tech for CFO, Inc., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months preceding the claim.

10. Termination

You may stop using the Service, disconnect QuickBooks, and delete your data at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to the Service or other customers. On termination, we will delete Your Data in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these Terms.
